Where are the RWE shares listed?
In Germany, RWE shares are listed on the official market in Frankfurt/Main and Düsseldorf. They are also listed on the over-the-counter market at Berlin, Bremen, Hamburg, Hanover, Munich and Stuttgart.
In addition to that they are quoted on the stock exchange in New York where we have a sponsored-Level-One-ADR-Program.
What is the “Wertpapierkennnummer” for RWE shares? What is the so-called ISIN all about?
The codes for the RWE shares are

Wertpapierkennnummer 703 714 or ISIN DE0007037145
The International Securities Identification Number (ISIN) is intended to replace the German "Wertpapierkennnummer (WKN)". It is to be used in stock exchange transactions as from April 22, 2003. Nevertheless, according to press reports, many institutes had announced earlier that they intended to accept the German WKN in addition to the ISIN even after the deadline. The twelve-digit ISIN consists of three elements:
- the country code: DE for Germany,
- a national identification number: old WKN, extended by three zeros
- and a check digit. The standard is recognized and used worldwide.
When and where has the RWE share first been quoted at a stock exchange?
The RWE share has been quoted (on the Berlin stock exchange) for the first time in December 1922.
On February 20, 2008, the Executive Board of RWE AG passed a resolution based on the authorization of the Annual General Meeting of April 18, 2007, to launch a share buyback programme. 31,734,473 shares in RWE AG with a value of some €2.5 billion were bought back between February 21, 2008, and May 16, 2008.
On April 22, 2010, the Annual General Meeting authorized us again to buy back shares. Hence, the Executive Board is entitled to acquire shares in the amount of up to 10 % of the share capital until October 21, 2011.
In the time period from February 2, 2009 to February 16, 2009 RWE AG acquired 2.9 million common shares in RWE AG with a value of approximately €177 million. The shares have been used for fulfillment of a settlement agreement concluded in the appraisal proceeding RWE/VEW. During the same period RWE AG sold 2.9 million treasury common shares in the value of approximately €176 million.
As of 31 December 2010 we held 28,846,473 own ordinary shares as treasury stock.
The current number (as of 31 December 2010) of shares outstanding is as follows:
- 494,558,527 common shares
- 39,000,000 preference shares.

What is the difference between common shares and preference shares?
Ordinary shares certify the ordinary legal shareholder rights without preference rights.
Preferred shares, in principal, do not embody any voting rights. To compensate for this, such shares offer other advantages for the owner (enhanced position in terms of profit distribution, back payment for non-paid dividend, etc.).

How is the capital stock of RWE AG divided into common and preference shares?
According to the balance sheet as at 31 December 2010, RWE's capital stock amounts to €1,440 million. It is divided into 523.4 million common bearer shares and 39.0 million preference shares. Our shares are no-par stock. They represent a calculated share of the capital stock in the amount of €2.56. As of 31 December 2010 we hold 28,846,473 own ordinary shares as treasury stock. The number of shares outstanding is 533,558,527. The split is as follows:
- 494,558,527 common shares
- 39,000,000 preference shares.
