Share buyback

On April 22, 2010, the Annual General Meeting authorized us to buy back shares. Hence, the Executive Board is entitled to acquire shares in the amount of up to 10 % of the share capital until October 21, 2011.

As of September 30, 2010 RWE holds 28.8 million treasury shares (all of which ordinary shares), which corresponds to 5.5% of voting rights and 5.1% of the total outstanding share capital.

Share buyback October 2010

RWE AG acquired 558,003 ordinary shares of RWE AG with a value of 27.9 million € in the time period from October 1, 2010 to November 3, 2010. The shares bought back were used for the issuance of employee shares in connection with the Company’s share option programme for its employees (Belegschaftsaktienausgabe) for the year 2010.

Share buyback October 2009

RWE AG acquired 406,155 ordinary shares of RWE AG with a value of 25.2 million € in the time period from October 1, 2009 to October 30, 2009. The shares bought back were used for the issuance of employee shares in connection with the Company’s share option programme for its employees (Belegschaftsaktienausgabe) for the year 2009.

Share buyback February 2009

RWE AG acquired 2.9 million common shares in RWE AG with a value of approximately 177 million € from February 2, 2009 to February 16, 2009. The shares were used for fulfillment of a settlement agreement concluded in the appraisal proceeding RWE/VEW. During the same period RWE AG sold 2.9 million treasury common shares in the value of approximately 176 million €.

Share buyback October 2008

RWE AG acquired 376,637 ordinary shares of RWE AG with a value of EUR 23.5 million in the time period from October 1, 2008 to October 22, 2008. The shares bought back were used for the issuance of employee shares in connection with the Company’s share option programme for its employees (Belegschaftsaktienausgabe) for the year 2008.

Share buyback programme February – May 2008

On February 20, 2008, the Executive Board of RWE AG passed a resolution based on the authorization of the Annual General Meeting of April 18, 2007, to launch a share buyback programme.

The share buyback programme was finalised on May 16, 2008. 31,734,473 shares in RWE AG with a value of some EUR 2.5 billion were bought back between February 21, 2008, and May 16, 2008.
