RWE AG, together with the European Commission, is seeking a structural solution to the antitrust proceedings initiated against it in April 2007 in connection with the company’s operations on the gas market. The European Commission suspects unjustified obstacles to access to the gas transportation system in Germany. The suspicions are directed primarily against RWE Transportnetz Gas GmbH (TSO Gas), the Group’s gas transmission operator. RWE will now commit to selling off its gas transportation network in Germany to an independent third party within the next two years.

per share from RWE. The price reflects the IPO price of US$21.50 per share minus the underwriting discount of US$0.645 per share.

Regulatory measures placed greater pressure on RWE Group earnings in the first quarter of 2008 than in the previous year. Also, as expected, the trading business did not reach the extraordinarily good level of the previous year. The operating result thus decreased during the first quarter. RWE nevertheless intends to offset the first-quarter constraints in full in the coming quarters. Therefore, the overall outlook for the fiscal year can be confirmed.

On 22 April 2008, RWE AG priced the initial public offering of 58 million of American Water’s shares at US$ 21.50 per share. This amounts to approx. 36% of American Water’s outstanding shares. Trading will start on 23 April 2008 under the ticker symbol “AWK” on the New York Stock Exchange. Net proceeds of around US$ 1.2 billion (€0.8 billion) from the offering will go to RWE. In addition, RWE has granted the underwriters a 30-day option to purchase up to 8.7 million additional shares of common stock (“greenshoe”).
