RWE schließt Anteilserwerb an Amprion erfolgreich ab

RWE has successfully closed the acquisition of indirect shares in Amprion less than 5 weeks post announcement. The transaction was completed after the German Federal Cartel Office granted unconditional clearance on 17 July. By acquiring indirect shares from five shareholders of M31, RWE has increased its total share in Amprion to 55%. The aggregate purchase price across all acquisitions amounts to €3.6 billion and was fully financed through the equity capital raise successfully completed on 22 June.

Amprion is one of Germany’s four transmission system operators and operates the transmission grid in the country’s economic heartland, spanning seven German federal states and serving approximately 29 million people. The company plans significant grid expansion investments over the next decade to enhance critical energy infrastructure. This expansion is essential to driving Germany’s energy transition forward.

Through the increased stake, RWE will contribute additional funds towards the substantial investments required to expand the transmission grid. By 2031, RWE expects to invest €6.5 billion in grid expansion related to its stake in Amprion. Around €2.5 billion had already been allocated for investment requirements relating to the existing RWE-Apollo stake in Amprion. A further approximately €4 billion has been earmarked for the same period to fund additional investment needs arising from the increased stake. This will be fully funded via the recently completed equity capital raise and RWE’s available financial headroom.
